[Token-all] consortium agreement version 3 - 20201021

Dear Stefano,

As discussed in the EB, please find blow our comments sent earlier concerning attachment 1 and the change of our registered address. You can ignore our comment on section 8.2. – though we prefer option 1, we accept to move on with option that is now in the consortium agreement.

The signatory of the consortium agreement will be: Fabrice Croiseaux, Chairman Infrachain a.s.b.l.

Here is the Infrachain position for the 2 items in the consortium agreement:


1)      attachment 1: background included

Describe Background
Specific limitations and/or conditions for implementation (Article 25.2 Grant Agreement)
Specific limitations and/or conditions for Exploitation (Article 25.3 Grant Agreement)

  *   Infrachain governance documents
  *   Any guidance document by Infrachain and its linked third parties and marked as Restricted or Confidential.
  *   Documentation of the public blockchain in Luxembourg
Documents (or extract of documents) can only be given to person having signed an NDA with the consortium, or cited in TOKEN deliverables previously approved by Infrachain)
Any extract from these documents and any following of methods described in these documents and not published elsewhere before shall be made with a clear reference to said document.



2)      section 8.2 ("joint ownership")
Infrachain prefers option 1


I would also like to remind you that Infrachain changed its address to: 5 rue Plaetis , L-2338 Luxembourg.

thanks to unican the ca is about finished.

actually to be exactly ready for signature i still need from the following partners their choice for attachment 1 (page 32 of 39 on):

- fundingbox research
- imec
- vil
- certh
- demos
- infrachain
- ayuntamento de santander
- funding box accelerator
- dimos katerinis.

besides, would be great to have also the name and function of whom will sign the agreement (this eventually can be put by hand at signature time) for:
- fundingbox research (page 22)
- vil (page 24)
- certh (page 25)
- demos (page 26)
- infrachain (page 27)
- unican (page 28)
- ayuntamento de santander (page 29)
- fundingbox accelerator (page 30)
- dimos katerinis.

of course your company attorney can review the entire agreement, but if they make any change this of course requires another loop to all partners. if this is the case please provide your version of the document with changes in track-mode and rename the file with the acronym of the company at the end of the original file name ("TOKEN_Consortium Agreement_20201021") kept unchanged.
